WSMB provides business entities with a broad spectrum of coordinated legal advice in multiple areas of corporate law. The majority of our firm's partners are longtime corporate generalists - each bringing to bear, for a particular client, expertise in a wide scope of corporate and related practice areas. At many larger firms, the increasingly niche specialization of their personnel often requires a sizable team of attorneys in order effectively to solve client problems (often resulting in needlessly sizable legal fees, as multiple lawyers repeatedly work on the same contract). In contrast, clients of WSMB normally can rely on a single partner to provide a comprehensive solution to the client's corporate contract needs.

The bedrock of WSMB's corporate contracts practice is our representation of growth-oriented companies (both start-up and established) in an outside general capacity. Acting in this capacity, we handle almost all aspects of a company's day-in-day-out contracting needs. These needs typically require us to provide advice and documentation relating to such matters as: corporate organizational and governance issues; stockholder and LLC operating agreements; employment and employee equity compensation agreements; consulting and information assignment agreements with technology and other vendors; capital raising transactions; disclosure and protection of confidential information; and the company's activities as a licensor or licensee of intellectual property.

At WSMB, we combine our corporate legal expertise with a practical, common-sense approach to problem solving. Because several of our partners have served as senior managers of venture capital-funded businesses, they learned first-hand the business implications of the many types of legal matters we handle. And many of our transactional lawyers have extensive litigation experience as well, so we always structure deals with a keen eye toward avoiding the types of pitfalls we have seen end up in arbitration or litigation proceedings.

When we act as a company's outside general counsel, we often are able to offer that client fixed, per-project fees as well as a broad range of corporate contract services for a flat monthly retainer.
